In item 1, the Board of Directors proposes to amend Article 2 ("Corporate Purpose") to strengthen Snam's commitment to fostering energy transition. In particular, according to the new subsection, Snam carries out and organizes "its business with the aim of pursuing sustainable success through long-term value creation to benefit shareholders, taking, into account the interests of the other relevant stakeholders for the Company". It is also proposed to include activities in the energy transition sector in the Company's businesses, and to eliminate the reference to hydrocarbons.
The proposed amendments are in line with Snam's announced intention to achieve carbon neutrality by 2040 and with the recommendations of the new Italian Corporate Governance Code, which was approved in 2020. We recommend shareholders to vote FOR.
Snam is engaged in the construction and integrated management of natural gas infrastructure. It manages the gas systems, develops infrastructure and provides integrated services for the market. Co. is also engaged in natural gas transportation, storage, regasification and urban distribution. Co. manages a national transportation network, including eight storage facilities, one regasification plant and a local distribution network.
