Dividend and Purchase of own shares
ITEM 2: In view of the recent events relating to Covid-19, ECGS is in favour of postponing decisions on the dividend, reductions or suspensions that would allow companies to avoid liquidity risks or not generate risk for their survival. ECGS considers that the potential impact of the Covid-19 induced crisis is not yet known. Therefore, we consider that it is not appropriate to seek approval for a dividend and we will not have a negative opinion if the company changes the amount distributed to shareholders. Accordingly, we recommend to OPPOSE this resolution.
ITEM 24: In view of the recent events relating to Covid-19, ECGS considers that it is not the right moment to proceed to a new share buyback programme. Therefore, we recommend to OPPOSE.
Elections of the Board
ITEMS 10, 11 and 12: The Company seeks shareholder approval to elect Emma Griffin, Rosemary Hilary and Helena Morrissey as Directors for a 1-year term. The 3 candidates are independent and do not hold an excessive number of mandates. Accordingly we recommend to APPROVE these three elections.
