En termes de gouvernance, la société Tarkett a opté pour le modèle dualiste (Conseil de surveillance et Directoire), avec des Présidents distincts, ce qui respecte nos recommandations. Cependant, il y a des droits de vote double au sein de la société au bout de 2 ans de détention. Ce système est contraire au principe d’égalité des actionnaires.
Par ailleurs, la société prévoit une distribution de dividende au titre d'un exercice déficitaire en comptes consolidés, ce qui ne respecte pas nos recommandations.
On regrettera aussi que la société continue à refuser de communiquer les objectifs des conditions de performance des rémunérations long-terme.
