Once again this year, the remuneration of Daniel Julien, Chairman-CEO, is excessive at € 4.5 M. Contested in 2018 with an approval rate of only 71.5%, several changes to the compensation policy are proposed, including the implementation of an annual allocation of performance shares instead of every three years previously. One of the objectives of this measure is to reduce the proportion of the fixed remuneration, which is very high. According to ECGS, it is mainly inflationary. Under these conditions, the resolutions concerning the compensation of the two executive corporate officers will not be supported (resolutions 5 to 8).
It is proposed to renew six members of the Board, most of whom are free of potential conflicts of interest. Due to the high level of independence of the Board, all such renewals will be approved (resolutions 9 to 14).
