Il est proposé de nommer Philippine François, fille de Jérôme François, Président du directoire, comme membre du conseil de surveillance pour une durée de 6 ans. L'élargissement du conseil est une bonne initiative puisqu'il n'était composé que de 3 membres. Cependant, la famille François, principal actionnaire de la société, est déjà représentée au sein du conseil. Par ailleurs, la durée de mandat de 6 ans ne permet pas aux actionnaires de se prononcer de manière assez régulière sur la composition du conseil. Par conséquent, la résolution 1 ne sera pas soutenue.

Autorisée en période d'offre publique, la demande de rachat d'actions ne pourra également pas être approuvée (résolution 2). En revanche, la proposition de division du nominal de l'action par 4 est la bienvenue au regard du cours du titre assez élevé. Cette décisison devrait permettre d'améliorer la liquidité de l'action (résolution 6).
