Les politiques de rémunérations des Présidents du directoire et du conseil ne proposent pas de changement négatif par rapport aux précédentes politiques ; elles sont donc acceptables et nous les soutenons.
Toutefois, dans le cadre de la présentation des éléments mentionnés du L225-37-3 du Code de Commerce ("Rapport Rémunérations"), la société aurait dû présenter ensemble et d'une manière qui permette la comparaison les éléments suivants :
- L'évolution annuelle de la rémunération,
- des performances de la société,
- de la rémunération moyenne sur une base équivalent temps plein des salariés de la société, autres que les dirigeants, et
- des ratios mentionnés au 6°, au cours des cinq exercices les plus récents au moins.
Or, si elle présente bien les rémunérations et les ratios, la société ne présente toutefois pas ses performances sur les 5 dernières années. Rares sont les sociétés n'ayant pas présenté cette information capitale dans leur "Rapport Rémunérations". Ce manquement n'est pas acceptable. Nous ne soutenons donc pas la résolution 5.
