Rémunérations
Concernant les rémunérations 2018 du Président Directeur général, la communication de la société permet une parfaite compréhension des montants attribués. Cependant, ceux-ci demeurent très généreux (5,8 M€, soit 278 SMIC et 124% de la médiane du CAC 40). Enfin Proxinvest estime qu’une performance relative à la médiane devrait occasionner une acquisition définitive beaucoup moins élevée que 80% de l’attribution initiale d’actions gratuites.
Concernant la politique de rémunération 2019 du Président Directeur général, en termes de structure et de montants en jeu, celle-ci ne respecte pas nos préconisations, cependant, les problèmes de structure et de montants pourront éventuellement être sanctionnés lors du vote ex post en 2020 sur l’application de la présente politique. Aussi, au regard du secteur dans lequel la société opère, l’ajout d’un critère environnemental quantitatif précisément décrit et avec un objectif clair est très appréciable et nous considérons cet ajout comme une modification positive de la politique de rémunération qui est dès lors préférable à la précédente.
