L’assemblée générale d’Ubisoft se tiendra cette année encore dans un climat actionnarial plutôt tendu puisque tant Vivendi que la famille Guillemot ou encore les salariés (dont le soutien au management n’est plus à démontrer) ont renforcé leurs détentions capitalistiques. Or, l’an dernier, à défaut de déposer une résolution lors de l’AG, Vivendi s’était abstenu à toutes les résolutions, faisant notamment échouer les résolutions d’attributions d’actions et options aux salariés et dirigeants.
On rappellera que suite à cette assemblée, Vivendi avait indiqué dans un communiqué « Vivendi considère qu'il serait de bonne gouvernance d'être représenté au Conseil, eu égard à sa participation au capital de l'entreprise et, en attendant, s'est abstenu lors du vote des résolutions.". Ainsi, il est fort à parier que soit Vivendi s’abstiendra de nouveau, ou déposera des résolutions externes (nominations et/ou révocations) le jour de l'assemblée.
Nous conseillons donc à nos clients actionnaires d'Ubisoft d'être présents à l'assemblée afin de pouvoir se prononcer sur ces éventuelles résolutions (au regard des 25% de droits de vote dont dispose Vivendi, le groupe contrôlera très certainement une proportion élevée des droits de vote lors de cette assemblée).
