La nomination de 2 administratrices indépendantes et disposant d'expérience dans le secteur est vivement appréciée. Le taux d'indépendance du conseil selon Proxinvest passe ainsi de 14% à 44%, ce que Proxinvest salue.
Rémunérations
La communication de la société est brouillonne (le montant indiqué comme étant le bonus dû au titre de 2019 dans le tableau présenté en P101 du Document d'Enregistrement Universel est en fait le bonus cible ; le bonus effectivement attribué figurant plus haut dans le DEU). Par ailleurs, les critères du bonus ne sont pas suffisamment précis ("performance financière"). De même, les taux de réalisation de chacun de ces critères ne sont pas communiqués, et les objectifs qui devaient être atteints non plus.
Cette communication confuse empêche par ailleurs toute compréhension des montants attribués, montants qui sont d’ailleurs excessifs au regard de la taille de la société.
