La société soumet au vote des actionnaires le renouvellement du mandat d'Eléonore Sidos,administratrice non libre de conflit d'intérêt, membre de la famille du dirigeant.Le conseil n'étant pas majoritairement indépendant, nous ne soutenons pas cette proposition.
De plus, conformément aux exigences de la loi Sapin 2, la société soumet au vote des actionnaires, sa politique de rémunération du Président Directeur Général et du Directeur Général Délégué. Si les montants et les plafonds établis ne sont pas excessifs , le manque de transparence de la société est notable concernant les critères de performance et le montant de la rémunération fixe.
Notons toutefois que, contrairement à l'année dernière, la société communique les montants des rémunérations fixes du PDG et DGD pour 2018. Nous saluons cette amélioration.
