Il est regrettable que la société ait décidé d'associer l'approbation des comptes avec le quitus en faveur des administrateurs. Proxinvest s'oppose en effet systématiquement au décharge et, par conséquent, la résolution 1 ne sera pas soutenue.
Le rapport spécial des commissaires aux comptes sur les conventions réglementées comporte une convention ancienne dont l'exécution se poursuit et qui porte sur une assistance technique apportée par la société OZEA dont l'associé unique est Nicolas Boutet, Président-Directeur général. Cette convention est mal documentée, ce qui ne permet pas aux actionnaires d'en vérifier l'équité, et créé une dépendance susceptible de conflits d'intérêts potentiels (résolution 3).
La société n'ayant pas exclu le rachat en période d'offre publique, la résolution 4 ne sera pas approuvée.
