Nous tenons à attirer l'attention des actionnaires sur les manquements suivants :
La Société soumet au vote la politique de rémunération pour le nouvel exercice mais n'en présente aucun rapport dans le document de référence (résolution 9).
Proxinvest s'opposera au quitus des administrateurs formulé par la Société (résolution 10), considérant ce renoncement comme un obstacle aux principes mêmes de bonne gouvernance.
La durée de mandat d'un administrateur est de 6 ans et les informations relatives aux membres du Conseil restent trop sommaires, ce qui ne respecte pas l'article R225-83 du Code de Commerce qui impose ces dispositions (résolutions 11 à 13).
La Société maintient ses autorisations d'augmentation de capital en période d'offre publique, ce qui pourrait décourager le lancement d'une offre et en fausser son résultat (résolutions 17 à 23 et 27).
