ECB GUIDELINES ON M&A SUPERVISION. MOVING FORWARD IN THE GAME CHANGER.
Yesterday the ECB released the draft of its guidelines on supervision and capital requirements in M&A moves. The key aspects are: (i) the business model being sustainable and the macroprudential capital requirements being met. Thus, final Pillar 2 (P2G+P2R) will be the weighted average of the integrated financial institutions, (ii) scant details on the key consolidation aspect: badwill (to date it has not been considered in integrations). The guideline now recognises it as long as the banks ensure its calculation is correct and that it is earmarked for strengthening the sustainability of the business (and not put towards the dividend), which would open the door to the possibility of not having to reinforce capital following the merger, depending on the level of weighted P2R required in the deal and (iii) the existing internal model prior to the acquisition can temporarily be maintained in the new resulting bank. With all this in mind, we still think sector consolidation should not occur before 2021 (awaiting higher visibility on NPL levels). The process should begin on the domestic level, i.e. Liberbank+Unicaja and Bankia+another bank. We think this guideline could act as a catalyst on these banks’ share prices.
