Comme lors des exercices passés, Proxinvest émet une réserve quant à l'affectation du résultat afin de protester contre le dividende en faveur de l'associé commandité (3 M€, soit 1,5% du montant distribué).
Par ailleurs, la société a décidé de procéder à plusieurs renouvellement cette année, alors qu'elle aurait pu, pour atteindre un meilleur taux d'indépendance, nommer des membres indépendants.
De même, les différentes résolutions permettant d'associer les salariés et dirigeants au capital de l'entreprise sont dans l'ensemble trop généreuses et les conditions de performance ne sont pas assez communiquées (résolutions 28 à 30). Il est dommage de ne pas prévoir à l'ensembles des plafonds pour chaque dirigeant, sans quoi il nous est difficile d'accepter ces résolutions, d'autant plus que les valorisations sont trop élevées.
