Le conseil comprend 43% de membres indépendants selon Proxinvest. Or, lorsque le conseil ne comprend pas une majorité de membres indépendants, Proxinvest ne soutient pas le renouvellement de membre non indépendants, sauf s'ils représentent un des 3 principaux actionnaires, ce qui est le cas de Siparex. Nous aurions ainsi pu soutenir la proposition. Toutefois, la durée de mandat proposée (6 ans) excède la pratique de place et notre limite de 4 ans. Nous ne soutenons donc pas la résolution 5.
Concernant les délégations financières, elles sont toutes utilisables en période d'offre publique, ce qui en fait des armes anti-OPA. Par ailleurs, les montants demandés (plus de 66% du capital) est excessif alors qu'aucun projet spécifique les justifiant n'est annoncé.
