Cette année encore, la société associe le quitus à l'approbation des comptes sociaux et des dépenses non déductibles, ce qui nous contraint à recommander l'opposition (résolution 1).
On regrettera également le manque d'indépendance du conseil de surveillance (seulement 1 membre sur 8). La nomination de Constance de Poncins note toutefois une amélioration dans ce domaine.
Dans sa politique de rémunération pour le nouvel exercice, la société indique que les fixes des membres du Directoire peuvent être modifiés par le Conseil de surveillance au cours de l'exercice. Ce manque de visibilité est décevant aux yeux de Proxinvest malgré des montants raisonnables. Une meilleure transparence sur ce point serait fortement appréciée.
De manière générale, la société pourrait grandement améliorer sa communication notamment en centralisant ses documents officiels en un seul document de référence.
