La société soumet à l'approbation des actionnaires les rapports établis par le conseil d'administration relatif aux attributions d'options et d'actions gratuites mais ces rapports ne sont pas disponibles. Les résolutions 6 et 7 ne pourront donc pas être soutenues.
Bien que la rémunération de Michel Artières était d'un montant modéré en 2018 (résolution 8), le manque de transparence et l'absence de modification de la politique de rémunération ne permettent pas de l'approuver pour 2019 (résolution 9).
Proxinvest s'opposera aux opérations sur le capital car certaines résolutions sont notamment possibles en période d'offre publique ou les conditions ne respectent pas nos critères de dilution et de plafond pour les bénéficiaires (résolutions 11 à 15).
