L'ensemble des membres du conseil est renouvelé cette année car la durée des mandats est d'un an. Il est cependant proposé d'allonger cette durée à 3 ans, durée qui demeure en ligne avec les principes de Proxinvest (4 ans) (résolutions 7 à 11 et 23)
La rémunération des différents mandataires sociaux dirigeants pour 2017 pourra être acceptée malgré une transparence perfectible et l'absence de rémunération de long-terme qui est compensée par leurs positions d'actionnaires en raison de montants raisonnables. Mais pour 2018, il ne pourra en être de même car en raison de cette transparence imparfaite - avec notamment l'absence de montants et de plafonds - une approbation reviendrait à octroyer un véritable blanc-seing au conseil (résolutions 12 à 21).
