Proxinvest attire l'attention des actionnaires sur les points suivants.
Tout d'abord le conseil d'administration de la société n'est pas majoritairement libre de conflits d'intérêts. En effet, d'après la politique de Proxinvest le conseil ne comporte que 18% de membres indépendants. Ainsi, les renouvellements d'Helen Lee Bouygues et de Clothilde Lemarié ne seront pas soutenus. De plus Proxinvest s'oppose au système de censeur et donc s'oppose au renouvellement d'Henri Moulard.
Ensuite concernant les rémunérations, Proxinvest note que les dirigeants perçoivent une rémunération excessive d'après nos critères. Nous recommandons donc l'opposition aux résolutions 17 et 18 de la présente assemblée.
