Bien que la famille Peugeot ne soit pas sur-représentée au conseil ( 8 membres, soit 62% des sièges pour 79,98% du capital détenu), la nomination de trois nouveaux membres du groupe familiale est regrettable. De ce fait, nous ne soutenons pas les résolutions 5 à 7.
La structure et la transparence de la rémunération des deux mandataires sociaux dirigeants sont acceptables d'autant que la société communique pour la première fois les conditions de performance des actions dans la politique de rémunération. Cependant, au regard des montants proposés, nous ne soutenons pas les résolutions 9, 10, 13 et 14.
Enfin il est à noter qu'à partir du 1er juin 2020, la société optera pour une dissociation des fonctions. Proxinvest félicite la société de ce choix.
