Bien que la famille Peugeot ne soit pas sur-représentée au conseil (5 membres, soit 50% des sièges pour 79,98% du capital détenu), le renouvellement du mandat de Jean-Philippe Peugeot ne sera pas soutenu en raison d'un conseil composé majoritairement de membres non libres de conflits d'intérêts (résolution 5).
La structure et la transparence de la rémunération des deux mandataires sociaux dirigeants sont acceptables d'autant que la société communique pour la première fois les taux de réalisation de chacun des critères du bonus annuel du Directeru général délégué. Cependant, les hausses passées et à venir ainsi que des montants trop élevés ne permettent pas d'approuver les résolutions 6 à 9.
