Concerning the remuneration policy and report, we have concerns about the lack of sufficient disclosure and the too high level of remuneration of the CEO.
Item 9
ECGS does not support the re-election of the Statutory auditor if the audit firm has been in office for more than ten years. For this reason, we recommend to OPPOSE.
Item 13
Concerning the offer of warrants, according to the opposition to remuneration policy and report, we recommend to OPPOSE.
Extraordinary General Meeting
Galapagos invites the shareholders of Galapagos NV to approve the introduction of a two-tier governance structure. ECGS has no concern about this decision.
