Alors que la société doit débourser 180 M€ en octobre 2022 pour rembourser les OCEANEs émises en 2017, il est proposé aux porteurs de ces obligations un rachat partiel et un aménagement de leurs modalités. En effet, au regard de la situation financière et de la trésorerie attendue en octobre 2022, cette échéance ne pourra pas être honorée par la société.
Ainsi, la société a signé des conventions de rachat avec des porteurs des OCEANEs pour un montant de rachat total de 47,48 M€, représentant 47,6% des OCEANEs en circulation et 85,7 M€ de valeur nominale. Par ailleurs, l’échéance des OCEANEs serait repoussée de 3 ans au 16 octobre 2025 et le ratio de conversion passerait de 1 action nouvelle ou existante pour 1 OCEANE à 5,5 actions nouvelles ou existantes pour 1 OCEANE correspondant à une baisse effective du prix de conversion des OCEANEs de 29,60 € à 5,38 € par action nouvelle.
L'ensemble des parties fait des efforts , que ce soit les actionnaires (via la sortie de trésorerie immédiate pour le rachat d'OCEANEs ou la dilution potentielle plus élevée) ou les porteurs d'OCEANEs (via le rachat d'une partie de la dette à une valeur inférieure à la valeur nominale de remboursement). L'opération semble cohérente.
