Proxinvest regrette que les conventions règlementées relatives aux directeurs généraux délégués n’aient pas été modifiées. Même si en principe, la plupart des conventions visées sont acceptables, le manque de transparence à leurs propos ne nous permet pas d’approuver la résolution dans son ensemble.
Les rémunérations attribuées aux mandataires sociaux exécutifs présentent des montants excessifs. A cela s’ajoute une communication insuffisante. Plus précisément, la communication de la société concernant les politiques de rémunérations attribuables aux dirigeants présentent toujours la même omission, c’est-à-dire l’absence de communication du montant fixe. Sans cet élément de base de la rémunération, l’actionnaire ne peut pas estimer les montants en jeu.
