Bien que Proxinvest souligne la volonté de la société de mettre en place un système de roulement concernant les élections de membres du Conseil de Surveillance (Résolution 11), il semble regrettable que l'ensemble des membres du Conseil soient proposés au renouvellement de la présente Assemblée Générale, ce qui pourrait avoir un impact sur la continuité de la gouvernance dans la société.
Proxinvest regrette par ailleurs que la société maintienne la possibilité de l'usage de ces autorisations financières en période d'offre publique, en raison de leur possible utilisation comme arme anti-OPA. Proxinvest considère en effet que les OPA sont des opportunités d'enrichissement pour les actionnaires et que la mise en place de tels outils n'est pas favorable à leurs intérêts. C'est pour cette raison que Proxinvest recommande aux actionnaires de s'opposer à la totalité des autorisations financières.
