Le 1er septembre 2019, Olivier Brandicourt a fait valoir ses droits à la retraite, 5 ans après son arrivée à la tête de la société. En sus d’une rente annuelle de 524 766 €, il a également conservé le bénéfice de la totalité des options et actions de performance qui lui avaient été attribuées et non encore acquises, et dont la valeur totale combinée est d’environ 11,6 M€. Ainsi, son package de départ total (retraite + actions et options maintenues) s’élève à 21,61 M€. Or, entre la nomination et le départ de M. Brandicourt, le cours de Sanofi a baissé de 11%, tandis que le CAC 40 augmentait de 13,4%. Ce package de départ (et l’ensemble des rémunérations attribuées à M. Brandicourt depuis son arrivée) semblent donc très généreux pour un dirigeant ne présentant pas une bonne performance.
M. Brandicourt a été remplacé par M. Hudson. En sus d’une augmentation du fixe de 8%, M. Hudson s’est également vu attribuer un bonus 2019 représentant 150% de son fixe, sans mesure liée à la performance, ce qui est inacceptable, même pour un dirigeant arrivant dans la société (surtout si celui-ci a été 4 mois en fonctions). Il s’est également vu attribuer des Unités de performance à titre de Golden Hello. Ses unités de performance sont accompagnées de conditions de performance mesurées sur 1 et 2 ans. Là encore, ce type de pratique est inacceptable pour une société de l’envergure de Sanofi.
