La société propose de renouveler les 3 membres du Conseil. Le conseil ne compte aucun membre libre de tout conflit d'intérêt potentiel, ce qui n'est pas acceptable. Proxinvest attendra donc que le conseil propose la nomination de candidats administrateurs indépendant. Aussi, le taux de féminisation est nul, et de la même manière, Proxinvest attendra de la société une représentation plus équilibrée des hommes et des femmes au conseil. Nous recommandons donc l'opposition à la résolution 7.
La société propose une série d'autorisations financières dans les résolutions 11 à 14. Celles-ci sont maintenues en période d'offre publique, et peuvent donc être considérées comme de potentielles armes anti-OPA. De plus, l'ensemble de ces autorisations porte sur des parts trop élevées du capital selon notre politique, et sont donc défavorables aux intérêts des actionnaires en cela. Enfin, la décôte proposée aux résolutions 12 à 14 est fixée à 20%, ce qui excède notre plafond de 5%, et constitue un cadeau trop généreux au bénéfice de certains actionnaires, au détriment de tous les actionnaires.
Ainsi, ces résolutions ne sont pas acceptables. Nous recommandons l'opposition aux résolutions 11 à 14.
