Nach der angekündigten Kapitalerhöhung bestätigen wir unser Buy-Rating für die Aktien der medondo Holding AG. Nach Anpassung der Anzahl ausstehender Aktien und der langfristigen Diskontierungssätze um das höhere Marktzinsniveau errechnen wir aus unserem dreiphasigen DCF-Entity-Modell ein Kursziel von EUR 5,50, bislang lag unser Kursziel bei EUR 5,70. Aus einer Monte-Carlo-Simulation, in der wir die Sensitivitäten des Unternehmenswertes bezüglich verschiedener unabhängiger Input-Variablen abgefragt haben, ermitteln sich Werte des Eigenkapitals von EUR 3,34 je Aktie (10%-Quantil) bzw. EUR 7,10 je Aktie (90%-Quantil).
medondo erhöht erneut das Kapital. Diesmal sollen bis zu 571.018 Stück Neue Aktien ausgegeben werden. Bei vollständiger Platzierung der Aktien wird die Anzahl ausstehender Aktien auf 15,571 Mio. von bislang 15,030 Mio. ansteigen.
Bei einem angegebenen Bezugspreis von EUR 1,50 je Aktie errechnet sich ein Bruttoemissionserlös von knapp bis zu EUR 0,9 Mio. Dieser soll nach Unternehmensangaben zur Finanzierung des Wachstums verwendet werden; auch sollen die Kernbereiche Softwareentwicklung und Sales ergänzt werden.
Die Durchführung der prospektfreien Kapitalerhöhung ist Angabe gemäß zeitnah geplant. Ein Bezugsrechtehandel wird nicht beantragt. Die neuen Aktien werden den bestehenden Altaktionären und neuen Aktionären zum Kauf angeboten.
Ohne Einbeziehung des aus der Kapitalerhöhung nach unserer Einschätzung finanzierten Wachstums liegen die entstehenden Verwässerungseffekte bei Buchwert, Ergebnis und Cashflow je Aktie 2023e nach unserer Berechnung in vernachlässigbaren Bereichen zwischen -2,2% bis 0,8%.
