Proxinvest déplore le manque de transparence de la rémunération du Président-Directeur Général qui ne permet pas d'approuver la rémunération attribuée au titre de 2018 : les critères utilisés pour le calcul du bonus annuel et leurs taux de réalisation ne sont en effet pas communiqués (résolution 9). Ces défauts de communication demeurent pour la politique de rémunération 2019 qui ne comprendra pas de surcroît de partie long-terme (résolution 10). Quant à la rémunération des membres du conseil sous forme de jetons de présence, une recommandation négative est émise car leur versement n'est pas lié à la présence des bénéficiaires aux réunions du conseil (résolution 8).
Les différentes autorisations d'augmentation de capital seront pour la plupart refusées en raison principalement de montants trop élevés et de maintien en période d'offre publique (résolutions 12 à18 et 22 et 23).
