Cette année encore, la rémunération des Commissaire aux comptes n'est pas individuellement détaillée, ce qui ne respecte pas le Plan Comptable Général (PCG) et plus précisément son article 833-14-4. S'il continue d'en être ainsi, les renouvellements des Commissaires aux comptes ne pourront être soutenus lorsque leurs mandats arriveront à échéance.
De plus, la société, dans le cadre de la rémunération actionnariale du Président Directeur Général, a effectué du "retesting". En effet, la société, pour les 50 000 actions attribuées en 2018, avait mis en place des conditions de performance à atteindre fin juin 2019, mais les objectifs n'ont pas été atteints ; aussi, le conseil a décidé de mettre en place de nouvelles conditions de performance qui seront mesurée à fin 2020". Ce type de pratique, très rare en France n'est pas acceptable puisqu'elle permet une forme de garantie de la rémunération. Nous recommandons donc l'opposition à la résolution 9.
