Frey - Assemblée Générale des Actionnaires du 20 mai 2020

Un pacte d'actionnaires en date du 15 mai 2019 a été conclu entre Prédica, AG Real Estate, Monsieur Antoine Frey et Firmament Participations, afin de régir leurs relations d'actionnaires. Les parties au contrat n'entendent pas agir de concert mais ont cependant décidées de s'accorder sur les points suivants:
- la composition du Conseil d'administration et ses Comités ;
- les modalités de transfert des actions détenues par les parties au contrat.
Le contenu du pacte d'actionnaires est communiqué en page 54 du Document d'Enregistrement Universel 2019.

Les augmentations de capital effectuées ces dernières années (2019, 2018, 2017 et 2015) ont maintenues le droit préférentiel de souscription. Cette pratique est appréciable et respectueuse des intérêts des actionnaires. Notons cependant que les autorisations de la présente assemblée générale sont regrettablement maintenues en période d'OPA.

Concernant les rémunérations attribuées aux mandataires sociaux dirigeants pour l'exercice 2019 ; bien que les montants restent acceptables, la transparence de la société sur l'attribution de la rémunération variable annuelle met l'actionnaire dans l'incapacité de pouvoir évaluer par lui-même l'alignement de la rémunération des dirigeants avec les performances de la société (résolutions 7 à 10).
