En matière de gouvernance, le conseil se caractérise par un nombre de membres trop restreint dont aucun ne peut être considéré comme libre de conflits d'intérêts potentiels (3 personnes dont 2 membres de la famille fondatrice). Le Directoire comprend également 3 personnes de cette famille sur 5 membres. Une ouverture du conseil permettrait d'apporter un regard extérieur nouveau et indépendant que les actionnaires de contrôle n'ont aucune raison d'appréhender.
De nombreuses résolutions d'augmentation de capital ne seront pas soutenues en raison des montants demandés et de leur maintien en période d'offre publique(résolutions 10 à 16). Une demande d'attribution d'actions gratuites en faveur des salariés et mandataires sociaux dirigeants est également bien trop généreuse pour être acceptée (résolution 19).
