Item 2: We recommend to oppose the dividend proposal. The dividend is not covered by free cashflow for a fourth consecutive year. We therefore consider a dividend payment inappropriate at this time.
Item 5: We recommend to oppose various amendments to the Company's Articles of Association as they are proposed in a bundled resolution and the Company does not provide any justification for the proposed changes.
