Les politiques de rémunération du Directeur Général (résolution 10) et du Directeur Général Délégué (résolution 11) pour l'exercice 2020 ne communiquent pas les montants des rémunérations fixes. Il devient ainsi difficile d'établir une rémunération potentielle maximale. Par ailleurs, la communication relative aux critères de performance déterminant la rémunération variable annuelle ainsi que l'attribution d'actions gratuites manque de transparence. Enfin, nous notons l'absence de rémunération long terme permettant d'assurer l'alignement des intérêts des dirigeants avec ceux des actionnaires de la société.
La détention en actions par le Directeur Général, nommé le 28 septembre 2018, est insuffisante (250 actions, valorisées 7 000 € au 06/05/2020, représentant 2% de sa rémunération fixe).
Les autorisations d'opérations sur capital sont regrettablement maintenues en période d'OPA.
